However, the Indemnified Parties reserve the right to assume the defense at their own cost at any time before the Claim is settled or resolved.

Termination of the Agreement

We reserve the right to terminate this Agreement and your access to the Site and Services immediately, without prior notice or financial compensation, in the following circumstances:

Confidentiality

However, you may disclose Confidential Information if legally required to do so, provided you promptly inform us, consult with us, and work with us to resist or narrow the scope of such disclosure or obtain an order ensuring the information is treated as confidential.

Entire Agreement

The Agreement represents the entire agreement between you and us concerning your use of the Site, the Software, and the Services. It replaces any prior agreements on the same subject. By accepting this Agreement, you confirm that you have not relied on any warranties or representations not expressly included in this Agreement.

Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will remain in full force and effect to the extent permitted by law.

Irreparable Harm

You acknowledge that a breach of this Agreement by you could cause us irreparable harm. Even though we may have other rights and remedies, you acknowledge that monetary damages alone may not be adequate. We will be entitled to equitable remedies, including injunctions and specific performance, to prevent or remedy any breach without needing to prove special damages.

Waiver

Our failure to enforce any terms of this Agreement will not be considered a waiver of our right to enforce any preceding or subsequent breach of the Agreement.

Third Parties

Unless explicitly stated otherwise, this Agreement does not grant any rights or benefits to third parties. It also does not create any partnership, trust arrangement, fiduciary relationship, or other form of joint enterprise between you and us.

Prizes

Prizes are non-negotiable, non-transferable, and non-exchangeable. Prizes are subject to availability, and the Promoter reserves the right to substitute prizes for alternatives of equal or greater value in case of unforeseen circumstances.
